This position is an upper-level legal professional and serves the organization as legal counsel in one or more of the following areas: labor and employment, IT, insurance, regulatory affairs, transactional, intellectual property, clinical operations, corporate compliance and governance and business affairs. Provides substantive legal advice and counsel to the senior company leadership, in respect to a broad array of both complex and routine organizational legal issues.

In addition to the regular duties outlined above, this position also assists with the organization’s compliance activities and is responsible for implementing Nova Medical Centers’ compliance program in conjunction with the Compliance Officer.  The position will review and evaluate compliance issues/concerns within the organization and serve as leader for compliance activities.  The position will oversee efforts to keep assigned operations in compliance with applicable rules, regulations, company policies and best practices. Reports to the Chief Legal Officer.



Principal Legal Responsibilities

  • Serves as in-house counsel supporting the organization’s various business entities
  • Reviews contracts involving leases, licenses, purchases, sales, insurance, etc., and reviews the drafts of various agreements and documents.
  • Serves as the organization’s subject matter expert and key resource for analyzing and providing counsel and guidance to assure all arrangements comply with Stark Law, the Anti-Kickback Statute, and all other applicable laws and regulations.
  • Serves as the organization’s subject matter expert and key resource for researching, analyzing and providing counsel and guidance to assure the organization’s compliance with all laws and regulatory requirements in a complex and diverse healthcare environment.
  • Prepares and/or reviews resolutions, reports, guidelines, policies and standard operating procedures.
  • Responsible for providing advice and guidance for the development the organization’s policies.
  • Serves as legal advisor to various committees, task forces or project teams as requested.
  • Responsible for proactively identifying and evaluating the impact to the organization of changes in the law and guiding the organization’s actions in support of such legal changes and in furtherance of the organization’s values and business objectives.
  • May be required to make court appearances, participate in mediations, conduct investigations, respond to EEOC, ADA, Wage & Hour, medical board complaints and similar matters as well as external administrative hearings.
  • Exercises independent judgment in identifying legal assignments which require specialized legal services and refers such assignments to the appropriate outside attorney, coordinating and supervising such outsourced services and assuring the successful interface between outside counsel and internal personnel necessary for a successful quality and cost-efficient outcome.
  • Performs legal research and prepares legal memorandum.
  • Works closely with other departments to foresee and protect company against legal risks.
  • At the direction of the Chief Legal Officer attends meetings, participates on committees and performs other functions and duties consistent with those performed by in-house counsel.
  • Promotes individual professional growth and development by meeting requirements for mandatory/continuing education and skills competency; supports department-based goals which contribute to the success of the organization; serves as preceptor, mentor and resource to less experienced staff.

Principal Compliance Responsibilities

  • Researches and interprets federal, state, local regulatory requirements and their impact to company policies, practices and procedures to ensure organizational compliance.
  • Work with compliance experts, outside resources and center operations resources on compliance related matters.
  • Develops and manages existing compliance policies, procedures, standards, forms and practices.
  • Provides support to stakeholders throughout company on compliance related matters.
  • Conducts compliance investigations if needed.
  • Manages, revises and adjusts current organizational compliance monitoring and auditing program with respect to legal, contractual, regulatory and HIPAA/privacy compliance.
  • Maintains compliance documentation and provides final resolution of all compliance deficiencies and corrective action plans.
  • Reports urgent compliance matters internally and, if required, externally.
  • Recommends action to mitigate any confirmed compliance matters, including any violations.
  • Coordinates with departments to operationalize statutory and regulatory requirements as needed.
  • Other duties as assigned.




Education: Juris Doctorate (JD) law degree from an accredited law school required. Must be in good standing.


Licenses/Certifications: Licensed by the Texas Supreme Court and admitted to the State Bar of Texas, or licensed in another U.S. state with the ability to apply for admission to the State Bar of Texas


Certified Compliance Specialist: 3-5 years of experience serving as Compliance Officer preferred


Experience / Knowledge / Skills:

  • Minimum 5 years-in-house or commensurate experience required.
  • Ability to work collaboratively to achieve established goals and exercise independent judgment with minimal supervision or oversight
  • Computer proficiency
  • Strong interpersonal, analytical, organizational, and communication skills. Must be able to interact daily with senior executives, middle management, retained outside counsel, Medical Staff leaders, and other stakeholders
  • Experience drafting, reviewing and negotiating agreements of all types including leases, licenses, and purchase and sales agreements.
